Terms of service

The agreement between you and [LEGAL ENTITY] for using MenuLedger.

This is a draft. The company details and governing law are not filled in yet, so this document is not in force. It is published so you can read what we intend to commit to.

What MenuLedger does

MenuLedger reads the supplier invoices you upload, keeps your ingredient costs current from them, and works out what your recipes cost. It is a costing tool. It is not accounting software, a point-of-sale system, an inventory system, or a substitute for professional advice.

Your account

You need an account to use MenuLedger, and you are responsible for what happens under it — including anyone you invite into your workspace. Keep your password to yourself, and tell us at [CONTACT EMAIL] if you think someone else has it.

You must be old enough to enter a contract where you live, and you must be authorised to act for the business whose workspace you create.

Reading invoices is a draft, not a decision

MenuLedger uses automated systems, including AI models, to read invoices. They get things wrong. That is why nothing an automated system reads changes your costs until you have reviewed it and confirmed it yourself.

We do not warrant that extraction is accurate or complete. You are responsible for checking what you confirm. Every figure MenuLedger shows can be traced back to the invoice line it came from, precisely so you can check it.

Cost and margin figures are food cost — what your ingredients cost. They exclude labour, rent, utilities, payment fees, tax and every other overhead, so they are not profit and must not be relied on as such.

Plans and payment

Every new workspace can have a small number of invoices read for free, with no card and no subscription. After that, reading more needs a plan. Nothing you have already entered is taken away when the free reads run out.

MenuLedger is sold on a monthly subscription. Launch pricing is $20 per month for Starter and $40 per month for Pro, in US dollars, before any tax that applies where you are.

  • Subscriptions renew each month until you cancel.
  • You can cancel at any time, and your plan runs to the end of the period you have paid for.
  • We do not refund part-months, except where the law where you live says otherwise.
  • If we change prices, we will tell you at least 30 days before it affects you, and you can cancel instead.

Each plan includes a set amount — people in a workspace, restaurant locations, how far back your price history goes, and whether spreadsheet import is available. What your plan includes is shown in Settings, and it is what applies.

Your data is yours

The invoices you upload, the ingredients and recipes you create, and everything derived from them belong to you. We do not sell them, and we do not use your business data to train AI models.

You grant us only the permission we need to run the service for you: to store your data, process it, and send an invoice you ask us to read to the model provider that reads it. The privacy policy explains that in detail.

What you may not do

  • Upload anything you do not have the right to upload.
  • Try to reach another customer's workspace or data.
  • Attempt to overwhelm, probe or work around the service's limits.
  • Resell MenuLedger, or use it to build a competing product.
  • Use it for anything unlawful.

There are limits on how often invoices can be read, to stop one workspace exhausting a shared resource. They are set well above ordinary use.

Availability

We work to keep MenuLedger available, but we do not promise it will never be down. We may change or withdraw features. If we make a change that materially reduces what your plan includes, we will tell you, and you can cancel.

Ending it

You can stop at any time. Deleting your workspace is in its settings, and it removes everything in it. We may suspend or close an account that breaks these terms, does not pay, or puts the service or other customers at risk — with notice where it is reasonable to give it.

Deleting a workspace deletes its data, invoice files included, and we cannot get it back afterwards. Ask us for a copy at [CONTACT EMAIL] before you do if you want one.

Liability

MenuLedger is provided as it is. To the extent the law allows, we exclude implied warranties, and we are not liable for lost profit, lost revenue, lost data, or losses from decisions made on figures you did not check.

Where we are liable, our total liability for any claim is limited to what you paid us in the twelve months before it arose. Nothing here excludes liability that cannot lawfully be excluded.

Changes to these terms

We may update these terms. If a change matters, we will tell you before it takes effect. Carrying on using MenuLedger after that means you accept it.

Law

This agreement is with [LEGAL ENTITY], [REGISTERED ADDRESS]. It is governed by the law of [COUNTRY OR STATE], and its courts hear any dispute.
